COMMISSION, COLLECTION AND PAYMENT TERMS

1. Commission Entitlement and Calculation Basis

Letsmoment is entitled to receive a commission, at the rate specified in the Supplier Agreement signed between the parties, for each reservation completed via the platform and successfully paid by the customer. The commission is calculated on the reservation amount excluding VAT.

2. Collection Authority

Reservation fees paid by customers are collected by Letsmoment directly or through authorized payment service providers. The Supplier acknowledges and accepts that it grants Letsmoment an irrevocable authority to collect payments on its behalf.

3. Payment Period and Timing

After deducting the commission, Letsmoment pays the remaining amount against an invoice issued by the Supplier, between the 1st and 15th of each month, no later than three (3) business days from the invoice date.

4. Cancellations and Refunds

No commission is accrued for reservations canceled within the free cancellation period. In cases of refunds due to force majeure, legal obligations, or customer satisfaction reasons, Letsmoment does not charge any commission.

5. Chargebacks and Payment Disputes

Any losses incurred by Letsmoment due to chargebacks or payment disputes shall be offset against the Supplier’s receivables; if there are no receivables, the Supplier shall refund such amounts immediately.

6. Tax Obligations

The Supplier is responsible for all taxes related to the services provided. Letsmoment reserves the right not to make any payment if an invoice is not duly issued.

7. Records and Evidentiary Value

Letsmoment’s system records, payment provider reports, and reservation data constitute conclusive evidence.

8. Commission Changes

Letsmoment reserves the right to amend commission rates in line with market conditions.

9. Settlement Netting

Payments are made on a net settlement basis.

10. Right to Suspend Payments

Letsmoment may suspend payments in the event of suspicious transactions, suspected fraud, or legal risks.

11. Reserve Fund

Letsmoment may allocate a temporary reserve amount to mitigate chargeback risks.

12. Compliance with Platform Rules

The Supplier agrees to comply with all Letsmoment platform rules.

13. Prohibition of Unauthorized Sales

Customers acquired through the platform may not be redirected to off-platform sales channels.
