SUPPLIER (SELLER) AGREEMENT

Article 1 – Parties and Subject of the Agreement
This Supplier (Seller) Agreement (“Agreement”) is entered into between Letsmoment, the operator of the Letsmoment platform, and the Supplier, being a natural or legal person participating in the platform as a supplier.
All suppliers who register on and use the Letsmoment platform as suppliers declare that they have read, understood, and fully accepted the provisions of this Agreement.
Article 2 – Legal Status of Letsmoment
Letsmoment operates as an intermediary service provider within the scope of Law No. 6563 on the Regulation of Electronic Commerce and the relevant legislation.
Letsmoment is not the provider of the services offered by the Supplier and solely acts as an intermediary between the Supplier and the customer in the service relationship established between them.
Article 3 – Provision of Services and Liability
The Supplier is solely and exclusively responsible for ensuring that all services offered for sale via the Letsmoment platform comply with applicable laws, relevant regional and national legislation, and all safety, quality, and competency standards.
Letsmoment shall not be held liable in any way for the content, performance, or outcomes of the services provided by the Supplier.
Article 4 – Reservations and Communication Information
Reservations are accepted exclusively through the Letsmoment platform.
Customer contact information obtained after a reservation may only be used for the performance of the reserved service. Such information may not be used for advertising, marketing, redirection, or off-platform sales purposes.
Article 5 – Prohibition of Off-Platform Redirection and Bad Faith
The Supplier may not, directly or indirectly, redirect customers acquired through Letsmoment to third parties, platforms, or channels in bad faith.
The Supplier is obliged to refrain from any communication or conduct that may harm the platform, negatively affect the customer experience, or damage Letsmoment’s commercial reputation.
Article 6 – Commission Rate
The Supplier agrees that, for each service accepted and successfully completed via the platform, 25% of the service fee to which the Supplier is entitled shall be deducted by Letsmoment as commission.
Commission calculation and payment principles are regulated in detail in the separately issued Commission and Payment Terms document.
Article 7 – Payment and Collection
Payments shall be made to the bank account notified in writing by the Supplier within a maximum of three (3) days following the issuance of an invoice, on the 1st and 15th day of each month.
Letsmoment shall not be liable for any delays arising from banks, payment service providers, or technical infrastructure.
Article 8 – Quality, Audit, and Suspension
Letsmoment has the right to issue a written warning to suppliers who fail to meet quality and competency requirements, operate in violation of applicable legislation, or negatively affect customer satisfaction, and to grant a period for remedying such deficiencies.
If the Supplier fails to meet the required conditions within the granted period, its services may be temporarily or permanently removed from the platform.
Article 9 – Records and Evidentiary Value
Letsmoment’s system records, reservation documents, and payment service provider reports constitute conclusive evidence in any disputes that may arise between the parties.
Article 10 – Tax Obligations
The Supplier acknowledges that all taxes, duties, fees, and statutory obligations related to the services it provides are its sole responsibility.
Letsmoment bears tax liability only in relation to its own commission fee.
Article 11 – Termination of the Agreement
Letsmoment has the right to terminate this Agreement unilaterally and with immediate effect if the Supplier acts in violation of the provisions of this Agreement.
Article 12 – Governing Law and Jurisdiction
Turkish Law shall govern any disputes arising from this Agreement.
Nevşehir Courts and Enforcement Offices shall have jurisdiction over the resolution of such disputes.
